- What LocalSquare is: A digital community bulletin board for each neighborhood. People and businesses pay monthly to "pin" little visual squares (pixels) on their community board that can link to their website, social, or event.
- Who can use it: Adults 18+ can buy pixels. Anyone can generally view the boards.
- What you're responsible for: You only post content (images, logos, text, links) you have rights to. No illegal, hateful, explicit, or scammy stuff. You're responsible for what happens under your account.
- Payments: You pay a recurring fee (monthly) processed by Stripe. Each pin lasts 30 days from purchase and auto-renews unless cancelled. Fees are normally non-refundable once the billing period starts.
- Charity: We may donate a portion (for example, 10–15%) of certain purchases to charities we list. We choose how to route and report those donations.
- Pin duration: Each pin lasts 30 days from the date you claim it. With auto-renew enabled, your pin automatically renews every 30 days. Without auto-renew, your pin expires and the squares become available again.
- We can moderate: We can remove content or suspend accounts that break the rules.
- Legal protection: We do not guarantee results (traffic, sales, etc.). Our liability is limited (see details below).

1. Introduction
Welcome to LocalSquare ("LocalSquare," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of:
- Our website, web app, and any related services (collectively, the "Service"), including:
- Town "pixel boards"
- User accounts
- Payment and subscription features
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a business or other entity, you represent that you are authorized to bind that entity, and references to "you" also mean that entity.
2. Eligibility
- You must be at least 18 years old to purchase pixels, subscriptions, or enter into a paid relationship through the Service.
- If you are under 18, you may use the Service only with the involvement and consent of a parent or legal guardian and may not enter paid agreements in your own name.
3. What LocalSquare Is
LocalSquare is a digital community bulletin board for neighborhoods:
- Each town has its own board made up of a grid of pixels (small square units).
- Users and businesses can claim one or more pixels for a recurring fee (e.g., monthly or annual).
- Each purchased group of pixels ("post") can display:
- An image (logo, flyer, photo)
- A short title/label
- A link (website, social profile, etc.)
- Boards are generally publicly viewable by anyone visiting the relevant town page.
We may change the design, number of pixels, pricing, features, or layout at any time.
We do not guarantee any particular:
- Level of traffic or impressions
- Number of clicks
- Revenue, sales, or outcomes from appearing on a board
4. Accounts & Access
Certain features (such as posting, managing pixels, or notifications) require an account.
You agree to:
- Provide accurate, current information.
- Keep your login credentials secure.
- Be responsible for all activity under your account.
We may allow sign-up or login via email and password or third-party login (e.g., Google, Apple, Facebook).
If you link a third-party account, you authorize LocalSquare to receive your basic profile details from that provider (e.g., name, email).
We may suspend, restrict, or terminate access to the Service if we believe you have violated these Terms or for any other lawful reason.
5. Pixel Purchases, Subscriptions & Billing
5.1 Pricing & Pixel Structure
- Each community board is divided into a set number of pixels.
- Each pixel has a base monthly (or annual) price.
- Purchasing multiple adjacent pixels forms a larger block for a single post (one image, one title, one link).
- To discourage hostile takeovers, we may use progressive pricing.
- We may change pixel counts, pricing tiers, and promotions over time. The current applicable price will always be shown at checkout.
5.2 Payments via Stripe
- Payments are processed by Stripe or another third-party payment processor.
- By providing payment information, you authorize us and our payment processor to charge pixel or subscription fees, applicable taxes, and any recurring charges you agree to.
- We do not store full credit card numbers on our own servers.
5.3 Subscriptions & Auto-Renewal
- Some pixel placements may be sold as subscriptions (monthly or annual).
- Unless otherwise stated, subscriptions auto-renew at the then-current rate until you cancel.
- You can typically cancel in your account settings or by contacting us at [email protected].
5.4 Refunds
Except where required by law:
- All fees are non-refundable once the billing period begins.
- We do not guarantee performance or traffic, and lack of expected results is not a ground for a refund.
- We may, at our sole discretion, issue credits or partial refunds in specific cases (e.g., prolonged technical downtime affecting your post).
6. Charity Contributions
LocalSquare may donate a portion of revenue to charities listed on the Service.
- For certain purchases, we may donate a portion (for example, 10–15%) of the fee to a charity you or we select.
- We choose the mechanism and timing for these donations.
- Charities and percentages may change over time.
Your purchase does not create a direct donor relationship between you and the charity. LocalSquare (or its legal entity) is the party making the donation.
We may display aggregated or approximate contribution amounts per town or per charity for transparency and engagement.
7. User Content & License
7.1 Your Content
"User Content" means any content you submit or upload to the Service, including images, photos, logos, graphics, text, titles, descriptions, labels, links, and any other media or materials you provide.
You represent and warrant that:
- You own or have all necessary rights and permissions to use and post your User Content.
- Your User Content will not infringe any copyright, trademark, or other proprietary rights, violate privacy or publicity rights, or violate any law or regulation.
7.2 License You Grant to Us
You grant LocalSquare a non-exclusive, worldwide, royalty-free, sublicensable and transferable license to host, store, reproduce, modify (for technical reasons such as resizing or reformatting), publicly display, and distribute your User Content in connection with the Service.
This includes the right to display your content on the appropriate community boards and use screenshots or visual examples of community boards (which may include your content) in marketing and product materials.
This license continues so long as your content is on the Service. If you remove content or close your account, we will stop displaying it publicly in the normal course of operations, but may keep backup copies as required for legal or operational reasons.
8. Prohibited Content & Conduct
You agree not to post or submit any User Content that:
- Is illegal, fraudulent, or deceptive.
- Contains hate speech, harassment, threats, or incitement of violence.
- Is sexually explicit, pornographic, or otherwise inappropriate for a general local-community audience.
- Promotes self-harm, violence, or illegal activities.
- Infringes others' rights (copyrights, trademarks, privacy, publicity).
- Contains malware, malicious code, or attempts to gain unauthorized access to systems.
You also agree not to:
- Use the Service to send spam, unsolicited commercial messages, or misleading promotions.
- Scrape, crawl, or systematically collect data from the Service without our written permission.
- Interfere with or disrupt the Service or its infrastructure.
We may remove content, limit your posting abilities, or terminate your account at our discretion if you violate these rules or if your content creates risk for us or our users.
9. Town Boards, Availability & Moderation
- Pixel availability is limited for each community board.
- When all pixels are taken, new posts may be waitlisted. Users can sign up to be notified when a spot opens.
Each pin lasts 30 days from the date of purchase:
- With auto-renew enabled, your pin automatically renews every 30 days to keep your spot.
- Without auto-renew, your pin expires after 30 days and the squares become available again.
- We may archive past pins for historical viewing or remove them entirely.
We reserve the right to add or remove towns, change board layouts, pixel counts, or visual design, and remove or modify posts to comply with law, protect our users, or enforce our policies.
Flagging & Review
- Users may flag User Content they believe violates these Terms or is otherwise inappropriate.
- Flagged content may be reviewed and left unchanged, hidden, edited (where appropriate), or removed.
- We make the final decision regarding moderation actions at our sole discretion.
10. Our Intellectual Property
All rights in the Service itself, including software, visual design and layout, logos, trademarks, and brand elements, text, graphics, and UI components (other than User Content) belong to LocalSquare or our licensors.
You may not:
- Copy, modify, distribute, sell, or lease any part of the Service.
- Reverse engineer or attempt to extract source code, except where explicitly allowed by law.
11. Third-Party Services & Links
The Service may display or link to third-party websites, apps, or services, including payment processors (e.g., Stripe), external websites linked from posts, and social media platforms.
We do not control and are not responsible for third-party sites, services, or content. Your use of those services is governed by their own terms and privacy policies.
12. Disclaimers
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available".
- We make no warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or that the Service will be error-free, secure, or continuously available.
We do not guarantee any specific traffic, clicks, engagement, revenue, or other results from your posts or pixels.
You use the Service at your own risk.
13. Limitation of Liability
To the fullest extent permitted by law:
- LocalSquare, its owners, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data arising out of or related to your use of (or inability to use) the Service.
Our total liability for any claim relating to the Service is limited to the greater of:
- The amount you paid to us in the three (3) months prior to the event giving rise to the claim, or
- $100 USD.
Some jurisdictions do not allow limitations on certain damages; in those places, our liability will be limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify and hold harmless LocalSquare, its owners, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another person or entity
15. Termination
We may, at any time and for any lawful reason, suspend or terminate your access to the Service and/or remove, edit, or modify your User Content.
You may stop using the Service or request account deletion at any time.
Sections that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability, indemnification) will continue to apply.
16. Governing Law & Dispute Resolution
These Terms and any disputes arising out of or related to them or the Service are governed by the laws of the State of New Jersey, without regard to conflict of laws principles.
You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Service will be brought exclusively in the state or federal courts located in New Jersey, and you consent to the jurisdiction and venue of those courts.
17. Changes to These Terms
We may update these Terms from time to time.
- When we do, we'll update the "Last updated" date at the top.
- For significant changes, we may provide additional notice (e.g., via email, in-app banner).
Your continued use of the Service after any changes become effective constitutes your acceptance of the new Terms.
